1. Agreement to Terms

By creating an account or using Shannon ("the Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use Shannon.

2. What Shannon Is

Shannon is an AI-powered personal life assistant provided by Cluesmith LLC ("we," "us," "our"). Shannon helps you stay organized and on top of what matters — not just by managing tasks and clearing admin, but by helping you make space for the things that matter most to you. You tell Shannon what's going on in your life, and it starts tracking, organizing, and following through. You can also connect services like email, calendar, and messaging so Shannon can proactively catch things you might miss.

Shannon is not a licensed professional. It does not provide legal, financial, medical, tax, or therapeutic advice. It is not a mental health crisis service or a substitute for professional crisis support. Any information Shannon provides in these areas is for general informational purposes only. Always consult a qualified professional for important decisions.

Shannon is not a crisis or emergency service. If you are experiencing a mental health crisis, thoughts of self-harm, or any emergency, please contact your local emergency services or a crisis helpline immediately. Shannon is not designed to detect, assess, or respond to crisis situations, and no interaction with Shannon should be treated as a substitute for immediate professional help.

3. Eligibility

You must be at least 18 years old to use Shannon. By creating an account, you represent that you meet this requirement.

4. Your Account

  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity under your account.
  • You must provide accurate account information.
  • Notify us immediately if you suspect unauthorized access to your account.

5. Connected Services

5a. Connected Services

  • Shannon connects to third-party services (Gmail, Google Calendar, Google Drive, WhatsApp, etc.) via OAuth with your explicit permission.
  • You control what Shannon can access. You choose which services to connect and can disconnect any service at any time.
  • Shannon acts on your behalf, not independently. Shannon will not send emails, messages, or calendar invitations on your behalf without your prior approval. You may grant Shannon standing permission to perform specific categories of actions, for example, scheduling recurring calendar events or sending pre-approved message templates. Shannon will clarify the scope of any standing permission through your conversation before acting on it, and you can revoke any permission at any time.
  • Third-party terms still apply. Your use of connected services remains subject to those services' own terms. Shannon does not override or replace them.
  • We are not responsible for third-party services. If Gmail goes down or Google changes their API, Shannon's ability to access those services may be affected. We will work to restore functionality but are not liable for third-party service interruptions.

5b. Google API Data

Shannon accesses Google user data (Gmail, Google Calendar, Google Drive) through authorized OAuth connections. Our use and transfer of information received from Google APIs to any other app will adhere to Google API Services User Data Policy, including the Limited Use requirements. Specifically: we only use Google API data to provide and improve Shannon's services to you; we do not use Google API data for serving advertisements; and we do not transfer Google API data to third parties except as necessary to provide Shannon's services, as required by law, or with your explicit consent. See our Privacy Policy Section 7 for the full scope list and per-scope use disclosure.

6. Acceptable Use

You agree not to:

  • Use Shannon for any illegal purpose.
  • Attempt to gain unauthorized access to Shannon's systems or other users' data.
  • Use Shannon to harass, threaten, or harm others.
  • Attempt to reverse-engineer, decompile, or extract Shannon's source code.
  • Use automated tools (bots, scrapers) to access Shannon outside of normal use.
  • Deliberately attempt to make Shannon produce harmful, misleading, or illegal content.
  • Misrepresent yourself or impersonate others.
  • Use Shannon to send spam or unsolicited bulk messages through connected services.
  • Circumvent any usage limits or security measures.

We reserve the right to suspend or terminate accounts that violate these terms.

7. AI-Generated Content and Actions

Shannon is an AI. It can be wrong.

  • Shannon's responses, suggestions, summaries, and actions are generated by AI and may contain errors, omissions, or inaccuracies.
  • You are responsible for reviewing Shannon's output before acting on it. This includes email drafts, calendar events, task summaries, and any other content Shannon produces.
  • Shannon may misinterpret your instructions. If Shannon takes an action you did not intend, notify us and we will help resolve it.
  • Shannon works hard to catch what matters, but it is not perfect. Important items may occasionally be missed. Shannon is here to help you stay on top of things, not to take over your judgment. Always review anything critical before acting on it.

8. Your Data and Content

  • You own your data. All personal data, emails, messages, calendar entries, and content you bring to Shannon remain yours.
  • You own Shannon's outputs about you. Task lists, briefings, summaries, and other content Shannon creates based on your data belong to you.
  • We will provide you with the ability to export your data in a standard, machine-readable format. This includes your personal information, connected service data, task lists, briefings, and Shannon's learned context about you.
  • You can delete your data at any time. When you delete your account, all personal data, connected service data, and derived data — including Shannon's learned preferences, life domain profiles, contextual memory, and any inferences Shannon has made about you or your life — will be permanently deleted within 30 days. We also revoke our OAuth access at any third-party providers (e.g., Google) where the provider supports revocation.
  • In the event of a data breach affecting your personal information, we will notify you within 72 hours of becoming aware of it, in accordance with applicable law.
  • When available, you may choose to share workflows, templates, or other content you've created with Shannon through community features or public channels. When you share content publicly, you grant Cluesmith LLC a non-exclusive, royalty-free license to display, distribute, and make that content available to other users. You retain ownership of anything you share and can remove it at any time. We will never share your content publicly without your explicit choice to do so. Any content shared through community features will be reviewed or automatically processed to remove personal information before being made available to other users.

9. Information about other people

Shannon may encounter information about other people in your emails, messages, and calendar entries — including family members, friends, colleagues, and others who communicate with you. Shannon may also build context about these individuals within your account to provide its services — for example, remembering a colleague's contact details, a friend's birthday, or a child's school and dietary needs. This context exists solely within your account, under your control, and is deleted when you delete your account or when you ask Shannon to remove it. Shannon does not contact third parties directly and does not use third-party information for any purpose other than assisting you. We treat all third-party information with the same security and deletion protections described in this policy. If you have concerns about third-party information that Shannon has processed, you can ask Shannon to remove it at any time.

10. Our Intellectual Property

Shannon's software, design, branding, and underlying technology are the intellectual property of Cluesmith LLC. These Terms grant you a personal, non-exclusive, non-transferable license to use Shannon for its intended purpose. You may not copy, modify, distribute, or create derivative works from Shannon's software or branding.

11. Service Availability

  • Shannon is provided on an "as available" basis. We aim for high uptime but do not guarantee uninterrupted service.
  • We may perform maintenance, updates, or changes that temporarily affect availability. We will provide reasonable notice for planned maintenance.
  • We reserve the right to modify, suspend, or discontinue features of Shannon with reasonable notice.

12. Subscription and Payment

  • Shannon may offer free and paid tiers as described on our pricing page. Pricing, features, and billing terms will be communicated at sign-up and before any charges.
  • If you are on a paid plan, you authorize us to charge your chosen payment method on a recurring basis.
  • All purchases are non-refundable. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
  • We will notify you at least 30 days before any price increase takes effect. If you do not agree to the new pricing, you may cancel before the increase applies.

13. Alpha and Beta Programs

If you are participating in Shannon's Alpha or Beta program:

  • The Service may be incomplete, contain bugs, or behave unexpectedly.
  • Features may change or be removed without notice.
  • Your use is subject to the Alpha/Beta Participant Agreement in addition to these Terms.
  • We may collect additional feedback and usage data as described in that agreement.
  • Alpha/Beta access may be revoked at any time.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • Shannon will meet your specific requirements.
  • Shannon will be error-free, uninterrupted, or secure.
  • Shannon's AI outputs will be accurate, complete, or reliable.
  • Shannon will catch every important email, deadline, or action item.

Without limiting the above, we do not warrant that Shannon's AI-generated outputs are suitable for making financial, medical, legal, or other important life decisions. Shannon is designed to assist and inform, not to replace professional advice or your own judgment in matters with financial, medical, legal, or personal consequences.

Shannon may encounter or elicit sensitive personal information in the course of helping you manage your life. Shannon is not a mental health tool, crisis intervention service, or substitute for human support. We do not warrant that Shannon will recognize signs of emotional distress, mental health crises, or unsafe situations, or that it will respond appropriately if it does. If you or someone you know is in crisis, do not rely on Shannon — contact a qualified professional or emergency service immediately.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLUESMITH LLC SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, or business opportunities.
  • Any damages arising from Shannon's AI outputs, including missed deadlines, incorrect information, or unintended actions.
  • Any damages arising from unauthorized access to your account due to your failure to secure your credentials.
  • Any damages arising from third-party service failures or changes.
  • Any damages arising from reliance on Shannon during a mental health crisis, medical emergency, or other urgent situation in which professional intervention was needed.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF SHANNON SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

16. Indemnification

You agree to indemnify and hold harmless Cluesmith LLC, its officers, employees, and contractors from any claims, damages, or expenses arising from:

  • Your violation of these Terms.
  • Your use of Shannon in a way that infringes on others' rights.
  • Actions you take based on Shannon's AI-generated content.

17. Termination

  • By you: You may delete your account at any time. Your data will be handled per our Privacy Policy.
  • By us: We may suspend or terminate your account if you violate these Terms, with notice where practical. In cases of serious violation (illegal activity, abuse), we may terminate immediately.
  • Effect of termination: Upon termination, your license to use Shannon ends. You may export your data before termination or within 30 days after. Once the 30-day window closes, your data will be permanently deleted per Section 8.

18. Dispute Resolution

  • Informal resolution first. Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
  • Binding arbitration. If informal resolution fails, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in California.
  • No class actions. You agree to resolve disputes individually, not as part of a class, consolidated, or representative action.
  • Small claims exception. Either party may bring claims in small claims court if eligible.
  • Time limit. Any claim arising from these Terms or your use of Shannon must be filed within two (2) years of the event giving rise to the claim, or it is permanently barred.

19. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. This does not limit your statutory rights under applicable local law.

20. Changes to These Terms

We may update these Terms from time to time. For material changes:

  • We will notify you by email at least 7 days before the change takes effect.
  • We will clearly describe what is changing and why.
  • Your continued use after the effective date constitutes acceptance.
  • If you disagree with the changes, you may delete your account before they take effect.

21. General

  • Entire agreement. These Terms, the Privacy Policy, and any applicable Alpha/Beta Agreement constitute the entire agreement between you and Cluesmith LLC.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment. We may assign these Terms in connection with a merger or acquisition with prior notice to you.
